The Fiduciary's Guide to AI: SOC 2 and Security Frameworks
Why moving AI-fast requires a fiduciary mindset to protect enterprise trust and navigate security frameworks like SOC 2.
In the current market, the pressure to move “AI-fast” is immense. Boards are demanding AI-driven efficiencies and founders are searching for the “silver bullet” feature that will define their next category.
But for those of us operating in the Enterprise SaaS space, selling to Fortune 500 companies with rigorous procurement and security standards, moving fast without a Fiduciary Mindset is a recipe for catastrophic value destruction.
When you have achieved world class SaaS metrics along with customers who depend and trust your platform, your primary job is no longer just “building features.” Your job is protecting the trust that earned you the growth and retention in the first place.
The Illusion of “Speed at All Costs”
We often hear that “AI is a race.” While true, in an enterprise context, it is a race through a minefield.
Innovation is often at odds with compliance. If your engineering team is using unvetted Large Language Models (LLMs) to process customer data or integrating experimental autonomous agents into production pipelines without data-boundary audits, you aren’t just innovating, you are creating a SOC 2 nightmare.
Security vulnerabilities or data leaks in an AI pipeline can kill an acquisition, stall a funding round, or result in the loss of a Tier-1 customer. In the enterprise world, “moving fast and breaking things” is only acceptable if you aren’t breaking the customer’s trust.
The industry has entered an era of “Compliance Commoditization.” In Silicon Valley, you can’t drive down the 101 without seeing a Vanta or some other similar vendor’s billboard, even before the current AI boom. SOC 2 has gone from a daunting, multi-month gauntlet to a streamlined, automated “checkbox” exercise. Don’t get me wrong, this is good progress and I love these services, but this ease of use has created a dangerous byproduct: complacency. When compliance feels like a utility, it’s easy to stop taking the underlying risks seriously.
This complacency is particularly dangerous today because while the paperwork has been automated, the security frameworks (SOC 2, ISO 27001, and others), and the IT departments that enforce them, haven’t yet evolved to handle the non-deterministic nature of AI. Furthermore, the enterprise customers we sell to are in the same boat; their procurement and legal teams are still scrambling to define what “safe AI” looks like in practice. When both the vendor and the buyer are operating with a legacy defensive playbook in a brand-new stadium, the risk of a catastrophic “foul” is at an all-time high.
To give you a sense of the climate, I recently completed a security assessment for a customer where nearly 25% of the questions were around AI. They aren’t alone. The concerns around AI are growing.
The Three Pillars of Rational AI Adoption
My approach to enterprise AI integration is built on three non-negotiable pillars designed to bridge the gap between hype and a production-ready system that respects established security frameworks.
1. Data Integrity and The AI Usage Policy
Before a single line of AI-generated code is committed or a single prompt is sent to an external API, an organization must have a formal AI Usage Policy. This isn’t just “red tape.” It is a strategic document that establishes:

Provider Vetting: Distinguishing which LLM providers are enterprise-ready (offering Zero Data Retention or opting out of training on customer data) and which are “data-mining” your prompts to improve their own models. Using vendors that let you control these things is critical (it may mean paying for a “Team” or “Enterprise” plan to gain access to certain organization level controls).

Data Classification & Tool Mapping: Defining which AI tools are cleared for specific data tiers. For example, while a consumer-grade chatbot might be fine for “Public” data, only enterprise-vetted vendors should touch “Customer” or “Highly Confidential” data. Google Gemini via Vertex AI, which supports strict data residency and ensures data is not used for training is always a solid recommendation (see Google’s data residency docs). Depending on the nature of the business, the most appropriate choice may even be deploying self-hosted models within your own cloud infrastructure to ensure total data sovereignty.

Ethical Accountability & Transparency: Establishing that AI output is not a “black box.” A fiduciary policy requires that any AI-driven decision is transparent to the stakeholder and subject to human oversight to mitigate inherent algorithmic bias. In other words, “human in the loop” is very important. Reviewing generated output is critical to ensure it is correct and does not introduce vulnerabilities.

Cost Observability & Auditability: Token costs add up quickly and they aren’t getting any cheaper. To truly claim victory for efficiency, you must be able to audit usage. Fiduciary leaders select vendors and tools that provide granular observability, allowing the organization to track ROI and prevent “runaway” model costs before they hit the bottom line.
A TIP ON PRIVACY & TRAINING DATA
Sometimes “telemetry” or “user feedback” opt-outs are hidden in the UI, so always dig into the settings. Be aware that “user feedback” could allow people to click an inconspicuous thumbs up/down icon that results in sharing prompt data that may be used for training. This may be considered separate from other usage. Read Terms of Service and FAQs carefully.
2. Guardrails Over Hype
Hype-driven development leads to “Vaporware.” We are currently seeing a flood of narratives promising that AI will “replace engineers” by next quarter or next year or whatever the next speculation is. Regardless of the timeline, this hype is real and it has even caused major moves in the stock market.
The reality is that AI is a force multiplier, not a replacement for human architectural oversight. An engineering leader ensures that AI initiatives are measured by their contribution to the “Source of Truth.” If an AI feature creates a black box where data goes in and unverified results come out, it hasn’t solved a problem, it has just obscured a new one. Architecture must remain human-centric and auditable.
Rigorous engineering fundamentals: Comprehensive test suites and mandatory code reviews are no longer optional. They are the primary defense against costly AI-induced technical debt.
Furthermore, we must address the human element. With hype comes a feeling of inadequacy or stress among team members. Engineers may feel less confident for not “buying in” or “keeping up” with the breakneck pace of announcements. It is vital to create space for team members to express these feelings and support them in doing their best work. Crucially: AI usage metrics should never be used as a scoreboard or a performance review metric. We use AI to empower the team, not to surveil them.
3. The “SOC 2 First” Mentality
Compliance should never be an afterthought in the AI lifecycle. If an AI feature requires you to bypass your existing access controls or violates the “least privilege” principle, it is a failed feature.
Maintaining a “Zero Exception” SOC 2 posture requires vetting every AI integration against your existing security commitments. This includes:
- Audit Logging: Can you track every interaction an LLM has with your assets and services?
- Encryption: Is data-in-transit and data-at-rest handled with the same rigor as your core application data?
- Data Residency: Do you know where data is processed? Are you in control of that?
- Access Control: Does the AI agent have more access to customer data than a human administrator would?
Proactive Transparency: Building Good Faith
In a world of evolving regulations, meeting the minimum legal requirement isn’t enough to build lasting trust. A fiduciary approach involves being proactive with your customers.
For example, at work we recently updated our Master Service Agreement (MSA) to explicitly disclose where and how we use AI. In many cases, this doesn’t technically require a change to your list of data subprocessors since many AI services are offered through existing cloud providers like Google Cloud or AWS. However, surfacing this information in good faith builds a bridge of transparency. When you disclose before you are asked, you move from being a vendor to a trusted partner.
Striking the right tone here was a cross-functional team effort. It is important to remember that updates to Terms of Service or MSAs shouldn’t be handled in a cold or forceful way. You have to “read the room” and understand the legitimate concerns of your customers to communicate these changes effectively. Acknowledge that they are likely navigating the same complexities and uncertainties as you are. Approaching the conversation as a shared journey is the surest way to solidify a long-term partnership.
Conclusion
AI is the most significant architectural shift of the decade, but it does not exempt us from the laws of “System Physics.” The leaders who win the AI race won’t be the ones who move the fastest. They will be the ones who build the most secure, reliable, and enterprise-ready AI ecosystems.
Trust is significantly harder to build than a feature, and it is exponentially easier to break. As leaders, our duty is to ensure that AI serves the customer’s security as much as it serves their productivity.
